ТЕРМИНЫ И ОПРЕДЕЛЕНИЯ
Публичная оферта (далее - Оферта, Договор) - это содержащее все существенные условия договора предложение, из которого усматривается воля лица, делающего предложение, заключить договор на указанных в предложении условиях с любым, кто примет это предложение.
Заказчик - дееспособное физическое лицо, достигшее 18 лет, имеющее законное право вступать в договорные отношения с Исполнителем, осуществившее Акцепт оферты и являющееся таким образом стороной Договора.
Исполнитель - представитель компании Freedom Vision, Inc. Ожередова Мария, действующая от имени данной компании.
Акцепт оферты — это согласие лица, которому она адресована, на её условия. Оплата или отправка Заявки на участие в Мероприятии в установленный срок считается Акцептом. Договор вступает в силу с момента Акцепта и не требует подписания.
Заявка - разновидность общения между Заказчиком и Исполнителем посредством вебсайта Исполнителя, при котором Заказчик изъявляет свое желание принять участие в программе мероприятия “Перезагрузка с дельфинами”, размещенном на Сайте Исполнителя.
Веб-сайт (Сайт) - открытый для свободного визуального ознакомления, публично доступный ресурс, размещенный в сети Интернет по адресу: https://diamondyacht.club/dolphins посредством которого обеспечивается отображение информации об условиях предоставления описанных в договоре услуг.
Стоимость услуг - действующий систематизированный перечень на услуги Исполнителя.
Инструктор по фридайвингу - фридайвер, прошедший соответствующее специализированное обучение и обладающий значительными практическими познаниями в области безопасного погружения под воду.
Мероприятие - выездной ретрит “Перезагрузка с дельфинами”, разработанный по специальной программе, включающей практики, медитации на яхте, работу с телом, сессии фридайвинга с дельфинами и взаимодействие с природной средой, проходящий в заповеднике Sataya Reef (Dolphin House), Египет.

1. ПРЕДМЕТ ДОГОВОРА
1.1. Исполнитель оказывает Заказчику услуги путем консультирования организации относительно проведения Мероприятия “Перезагрузка с дельфинами”. Заказчик принимает оказанные услуги и обязуется оплатить их в полном объеме.
1.2. Исполнитель на основании поручения Заказчика может организовать и осуществить от имени и за счёт Заказчика поиск лиц и оплату сопутствующих услуг указанных в Заявке Заказчика и (или) в Приложении №1 к настоящему Договору. Исполнитель оказывает услуги только по организации Мероприятия и консультированию. При оказании сопутствующих услуг, права и обязанности возникают между исполнителями сопутствующих услуг и Заказчиком.
1.3. Настоящий договор является публичным Договором-офертой. Безусловным принятием (Акцептом) условий данного Договора является факт подачи Заявки Заказчиком при регистрации на Сайте или внесение депозита на счет компании Freedom Vision, Inc.
1.4. Период оказания услуг, выбранных Заказчиком по настоящему Договору, определяется индивидуально с каждым Заказчиком на основании поданной им Заявки.
1.5. В случае принятия изложенных в данной Оферте условий, физическое лицо, производящее акцепт данной Оферты, становится Заказчиком. Акцепт Оферты равносилен заключению Договора, без обязательного письменного подписания сторонами.

2. ПРАВА И ОБЯЗАННОСТИ СТОРОН
2.1. Исполнитель обязан:
• Организовать и обеспечить надлежащее исполнение услуг, предусмотренных разделом 1 настоящего Договора.
• Оказать услуги в соответствии с расписанием проведения Мероприятия, разработанным Исполнителем.
• Провести для Заказчика комплекс практик по работе с телом, медитации и сессии по фридайвингу в заповеднике Sataya Reef (Dolphin House), Египет.
• Во время оказания услуг вести себя вежливо, тактично и доброжелательно по отношению к Заказчику.
• Уведомить Заказчика, если его индивидуальные особенности делают участие в Мероприятии невозможным или нецелесообразным.
• Заранее сообщить об изменении времени проведения программы Мероприятия (но не позднее 7 дней до его начала).
2.2. Заказчик обязан:
• Своевременно внести плату за предоставляемые услуги, указанные в п.1.1 настоящего Договора.
• Обеспечить посещение Мероприятия, в даты запланированные Исполнителем в строгом соблюдении с согласованным Сторонами планом, установленным при внесении депозита.
• Предоставить Исполнителю страховку по категории “Спорт и Активный отдых”, включающую в себя занятия фридайвингом, оформленную на время проведения выездного ретрита “Перезагрузка с дельфинами” в Египте.
• Предоставить Исполнителю по первому его требованию соответствующие медицинские заключения о возможности участия Заказчика в проводимых Исполнителем сессиях по фридайвингу.
• Незамедлительно сообщать Исполнителю об изменениях контактных данных (телефона, места жительства).
• Предоставить исполнителю письменное согласие на обработку его персональных данных.
• Соблюдать правила поведения при проведении практик и занятий программы, политику конфиденциальности, установленную Исполнителем.
• Проявлять уважение ко всему персоналу Исполнителя.
• Возмещать по первому требованию в полном объеме ущерб, причиненный имуществу Исполнителя и третьим лицам, привлекаемым Исполнителем для оказания услуги по настоящему Договору.
• При необходимости оплатить согласованные дополнительные услуги, оказываемые Исполнителем, в рамках проведения Мероприятия.
• Не принимать участие в сессиях фридайвинга при появлении признаков любых заболеваний, ограничивающих возможность участия в проводимых Исполнителем занятиях.
• Соблюдать санитарно-гигиенические нормы, правила пожарной безопасности, инструкции по технике безопасности нахождения в воде.
• Бережно относиться к имуществу Исполнителя.
2.3. Исполнитель вправе:
Индексировать цены на оказываемые услуги проведения Мероприятия в зависимости от темпов инфляции, колебания курсов валют и в других случаях, по причинам, ведущим к увеличению затрат на предоставляемые услуги.
2.4. Заказчик вправе:
• обращаться к Исполнителю по всем вопросам, касающимся сроков, порядка, способов проведения Мероприятия;
• пользоваться имуществом Исполнителя, необходимым для обеспечения участия в проводимых занятиях, во время их проведения;
• требовать от Исполнителя предоставления информации по вопросам, касающимся организации и обеспечения надлежащего исполнения услуг, предусмотренных разделом 1 настоящего Договора.

3. ОПЛАТА УСЛУГ И НЕСЕНИЕ РАСХОДОВ ИСПОЛНИТЕЛЕМ
3.1. Заказчик по настоящему договору оплачивает Стоимость участия, которая включает в себя:

• стоимость организационных и консультационных услуг Исполнителя, связанных с проведением ретрита;
• оплату гонорара мастеру, проводящему практики, медитации и иные мероприятия, входящие в программу ретрита;
• участие в практиках ретрита и сессиях фридайвинга;
• расходы Заказчика на сопутствующие услуги, оказываемые сторонними лицами, привлечёнными Исполнителем на основании поручения Заказчика и от его имени, включая проживание на яхте, питание, трансфер, услуги инструкторов по фридайвингу, аренду снаряжения и иное, указанное в Приложении №1 к настоящему Договору. Исполнитель оплачивает данные услуги третьим лицам, используя средства, полученные от Заказчика в рамках настоящего договора как компенсацию понесённых расходов.

3.2. Стоимость участия:
☑ Early Birds Price – 2200 € (до 31.07) + комиссия за денежный перевод,
☑ Стандартная цена – 2500 € (с 1.08 по 31.08) + комиссия за денежный перевод,
☑ Last Minute – 2800 € (с 1.09 по 7.10) + комиссия за денежный перевод.

3.3. Расходы Заказчика на сопутствующие услуги, оказываемые сторонними лицами, привлеченными Исполнителем по настоящему договору на основании поручения Заказчика – это перечень услуг, указанный в Приложении 1 данного Договора. Общая сумма расходов Заказчика на услуги, оказываемые сторонними лицами, является примерной и зависит от условий сторонних лиц, оказывающих эти услуги.
3.4. Для закрепления за Заказчиком места для участия в выездном ретрите “Перезагрузка с дельфинами” Заказчику необходимо оплатить «Депозит», который составляет 50% от стоимости участия, указанной в пункте 3.2.

3.5. Депозит для брони места является невозвратным, за исключением следующего случая:
- полный возврат, за вычетом комиссий за переводы, при отмене брони (отмене заявки Заказчика) более чем за 91 день до начала Мероприятия;
- при отмене брони от 61 до 90 дней до начала Мероприятия - возврат 25% депозита, за вычетом комиссий за переводы;
- при отмене брони менее чем за 60 дней — депозит не возвращается.

3.6. Депозит для подтверждения брони переводится Заказчиком по реквизитам Исполнителя, направленным в ответ на Заявку Заказчика, не позже 10 дней после подачи Заявки.

3.7. Все платежи Заказчика в пользу Исполнителя по настоящему Договору осуществляются следующим образом:

• оплата Депозита производится в долларах США, по курсу евро к доллару США, установленному Европейским центральным банком на дату выставления счета;
• оплата оставшейся части стоимости по Договору осуществляется наличными средствами в кассу Исполнителя либо путем безналичного перевода по договоренности сторон, в валюте евро, не позднее первого дня начала Мероприятия.

3.8. Исполнитель вправе изменять тарифы за предоставляемые услуги с уведомлением Заказчика об этом в срок не позднее, чем за тридцать календарных дней до вступления в силу новых тарифов.

4. ОСНОВАНИЯ ИЗМЕНЕНИЯ И РАСТОРЖЕНИЯ ДОГОВОРА
4.1. Текст Договора может быть уточнен Исполнителем без специальных уведомлений Заказчика путем опубликования на сайте актуальной версии Договора.
4.2. Настоящий Договор может быть расторгнут по соглашению Сторон.
4.3. Исполнитель вправе отказаться от исполнения Договора, предупредив Заказчика о расторжении в срок не менее, чем за 30 календарных дней. В таком случае производится возврат депозита Заказчика, за вычетом комиссий за переводы, или перенос даты участия Заказчика на следующий заезд по аналогичной программе.
4.4. Исполнитель вправе в любое время расторгнуть настоящий Договор без предварительного предупреждения Заказчика в случае нарушения Заказчиком условий настоящего Договора.
4.5. Настоящий Договор прекращается с момента возникновения обстоятельств непреодолимой силы у любой из Сторон Договора, при этом возврат депозита осуществляется в соответствии с условиями Договора.

5. ПРОЧИЕ УСЛОВИЯ, ОТВЕТСТВЕННОСТЬ
5.1. В случае непосещения Заказчиком проводимого Исполнителем Мероприятия без уважительных причин - пропущенные им практики, сессии и занятия не восстанавливаются и не возмещаются.
5.2. Правоотношения сторон, не урегулированные настоящим Договором, регулируются действующим законодательством страны проведения Мероприятия.
5.3. Заказчик согласен на хранение, обработку и использование Исполнителем персональных данных Заказчика.
5.4. В случае ненадлежащего исполнения своих обязанностей по Договору Стороны несут ответственность в соответствии с законодательством места проведения Мероприятия.
5.5. Совершая Акцепт настоящей Оферты, Заказчик подтверждает, что ознакомлен с санитарно-гигиеническими нормами, правилами пожарной безопасности, инструкциями по технике безопасности нахождения в воде, Планом и порядком проведения Мероприятия Исполнителем.
5.6. Совершая Акцепт настоящей Оферты, Заказчик заявляет, что не имеет медицинских противопоказаний для посещения Мероприятия, связанного с занятием фридайвингом и снорклингом, в соответствии с разработанным Исполнителем Планом и порядком его проведения. Исполнитель не несет ответственность за вред, причиненный здоровью и жизни Заказчика. Исполнитель оставляет за собой право потребовать от Заказчика медицинскую справку, выданную уполномоченным медицинским учреждением, без которой Заказчик не будет допущен к Мероприятию.
5.7. Исполнитель не несет ответственности:
5.7.1 За вред, причиненный жизни и здоровью Заказчика при нарушении Заказчиком санитарно-гигиенических норм, правил пожарной безопасности, инструкций по технике безопасности нахождение в воде, правил техники безопасности при пользовании услугами и/или по неосторожности Заказчика, нарушения Заказчиком законов и правил страны пребывания.
5.7.2 За вред причинённый жизни, здоровью и/или имуществу Заказчика действиями третьих лиц.
5.7.3 За утрату или повреждение личных вещей, оставленных Заказчиком в месте оказания Услуг.
5.7.4 За вред, связанный с ухудшением здоровья, если состояние здоровья Заказчика ухудшилось в результате острого заболевания, обострения травмы или хронического заболевания.
5.7.5 За вред, причиненный жизни и здоровью Заказчика, возникших в следствие самостоятельных занятий, не по специально разработанной программе Мероприятия и в местах не соответствующих уровню подготовки.
5.8 Стороны освобождаются от ответственности за частичное или полное неисполнение обязательств по настоящему Договору, если это неисполнение явилось следствием обстоятельств непреодолимой силы.
5.9. В случае причинения Заказчиком имущественного ущерба Исполнителю, Исполнителем (его представителем) составляется акт, который подписывается уполномоченными представителями Сторон. В случае отказа Заказчика от подписания акта Исполнитель подписывает его в одностороннем порядке в присутствии 2 (Двух) незаинтересованных лиц. Заказчик в течение 5 (Пяти) календарных дней на основании акта обязан возместить причиненный ущерб в полном объёме.
5.10. Стороны несут ответственность за неисполнение или ненадлежащее исполнение своих обязательств в соответствии с законодательством страны проведения Мероприятия.
5.11. Заказчик принимает на себя полную ответственность за все возможные риски и последствия, указанные в п. 5.7.1. – 5.9 настоящего Договора.
5.12. Исполнитель не несёт ответственности за сокращение или изменение программы Мероприятия по причине погодных или иных природных условий, изменения расписания движения транспорта, изменения физического состояния участника/ков группы и по другим объективным причинам, влекущим невозможность продолжения проведения Мероприятия, в том числе в случае несоответствия предоставленных услуг ожиданиям Заказчика и его субъективной оценке. При этом перерасчёт стоимости услуг Исполнителя не производится.
5.13. Исполнитель и Инструктор по фридайвингу не несут ответственности за действия иных лиц, в том числе неправомерные, и последствия таких действий (хулиганство, кража, причинение смерти/вреда здоровью и др.).
5.14. Исполнитель не несёт ответственности, не производит возврата финансовых средств и не выплачивает компенсации в случае возникновения негативных последствий, возникших вследствие:
• недостоверности, недостаточности и/или несвоевременности предоставления Заказчиком сведений и документов, необходимых для исполнения договора;
• отмены или изменения времени отправления авиарейсов, поездов, автобусов и других видов транспорта;
• изменения Заказчиком условий предоставления рекомендованных сопутствующих услуг, повлекших за собой дополнительные затраты (изменение условий размещения, трансферы, опоздания, неявки и т.д.);
• утери, утраты, кражи личного багажа, ценностей и документов Заказчика в период оказания сопутствующих услуг сторонними лицами;
• решений, действий (бездействия) органов власти страны пребывания или иных лиц;
• в случае возникновения у Заказчика заболеваний или осложнения текущих заболеваний;
• в случае досрочного прекращения или изменения программы Исполнителем или Инструктором по фридайвингу, вызванными обстоятельствами непреодолимой силы или соображениями безопасности;
• в случае нарушения Заказчиком техники безопасности или требований Инструктора по фридайвингу, повлекших причинение ущерба Заказчику;
• в иных случаях, предусмотренных законом.
5.15. В случае нарушения Заказчиком установленного порядка, совершения хулиганских действий или допущения иного ненадлежащего поведения, а также в случае нарушения Заказчиком условий Договора, в том числе, но не ограничиваясь: явки к началу Мероприятия в состоянии алкогольного или наркотического опьянения, употребление алкоголя/наркотиков во время Мероприятия, нарушения законодательства стран пребывания и правил безопасности, а также иных условий Договора, причинения ущерба Инструктору по фридайвингу или третьим лицам, Исполнитель или Инструктор по фридайвингу вправе досрочно прекратить исполнение своих обязательств (отказаться от их исполнения) без возвращения Заказчику уплаченных денежных средств. В этом случае услуги считаются не оказанными по вине Заказчика, все понесенные убытки ложатся на него самого.
5.16. Заказчик обязан возместить Инструктору по фридайвингу и третьим лицам любой ущерб/вред, причиненный им, в том числе ущерб, связанный с порчей снаряжения или иного имущества Инструктора по фридайвингу или Исполнителя, ущерб, причиненный в результате нарушения им самим законодательства стран пребывания (в том числе обязан компенсировать любые штрафы, уплаченные Инструктором по фридайвингу или иными лицами вследствие правонарушений Заказчика).
5.17. В случае возникновения разногласий между Заказчиком и Исполнителем, стороны приложат все усилия для того, чтобы решить конфликтную ситуацию путем переговоров и в мирном порядке.
5.18. При возникновении каких-либо замечаний, претензий к услугам, Заказчик должен обратиться к Исполнителю для решения возникших проблем. В случае отсутствия такого обращения в период оказания услуг, обязательства Исполнителя считаются выполненными надлежащим образом и без рекламаций.
5.19. Если причину, вызвавшую претензии Заказчика и связанную с исполнением Исполнителем обязанностей по настоящему Договору, на месте устранить не удалось, Заказчик должен обратиться в письменной форме к Исполнителю в течение не более 20 календарных дней с момента окончания оказания услуг, с приложением документов, подтверждающих претензионные требования. Претензия рассматривается в течение 14 календарных дней.
5.20. Все расходы, связанные с досрочным прекращением участия в программе ретрита, в том числе расходы по экстренной эвакуации Заказчика, вследствие внезапного заболевания, несчастного случая, отстранения от участия вследствие выявления нарушений Договора, ложатся на Заказчика.
5.21. Заказчик несёт ответственность за правильность и действительность своих документов, удостоверяющих личность, и других документов и данных, необходимых для участия в Мероприятии, а также за достоверность информации в документах, удостоверяющих личность лиц, указанных Заказчиком в Заявке.
5.22. Заказчик понимает и осознаёт, что выбранное им Мероприятие, связанное с фридайвингом - носит характер экстремального спорта и может быть сопряжено с рисками для жизни. Заказчик обязуется не предъявлять претензий и судебных исков к Исполнителю в случае наступления неблагоприятных событий. Заказчик обязуется сам застраховать свою жизнь, здоровье и личное имущество и самостоятельно нести ответственность в случае нарушения техники безопасности, разъяснённой ему Инструктором по фридайвингу или Исполнителем.
5.23. Инструктор по фридайвингу не является стороной договора.
5.24. Принимая условия настоящей Оферты, Заказчик подтверждает, что в случае возникновения вопросов по технике безопасности, Заказчик обязан обратиться за разъяснением к Инструктору по фридайвингу или Исполнителю.

6. СРОК ДЕЙСТВИЯ ДОГОВОРА И ДРУГИЕ УСЛОВИЯ
6.1. Настоящий Договор вступает в силу с момента его Акцепта и последующего подтверждения Исполнителем фактической возможности выполнения Заявки, и действует до конца срока проведения Мероприятия.
6.2. В случае несоблюдения одной из сторон условий настоящего Договора, произошедшего не по его вине, данная сторона освобождается от ответственности на общих основаниях. Освобождение от ответственности на общих основаниях возможно лишь при представлении другой стороне документов, имеющих юридическую силу и подтверждающих невиновность стороны.

7. ОБСТОЯТЕЛЬСТВА НЕПРЕОДОЛИМОЙ СИЛЫ
7.1. В случае наступления обстоятельств непреодолимой силы, которые не могли быть ни предвидены, ни предотвращены разумными действиями Исполнителя или Заказчика (забастовки, стихийные бедствия, погодные условия, военные действия, постановления органов государственной власти, влияющие на исполнение данного Договора, эпидемии, террористические акты или угроза террористических актов, запрет на авиаперевозки в данном направлении и другие подобные обстоятельства, влияющие на исполнение настоящего договора), каждая из сторон имеет право расторгнуть Договор с применением последствий, предусмотренных настоящей Офертой.


ПРИЛОЖЕНИЕ №1 к ДОГОВОРУ-ОФЕРТЕ
Исполнитель организует участие Заказчика в программе Мероприятия и содействует бронированию сопутствующих услуг у сторонних организаций от имени и за счёт Заказчика. Оплата проживания, питания, трансфера и иных сопутствующих услуг осуществляется третьими лицами, выбранными Заказчиком, по рекомендации Исполнителя, с использованием средств, переданных Заказчиком в рамках настоящего договора.

Перечень услуг:
1. Общий Трансфер от основного отеля размещения в порт отправки в первый день Мероприятия, и обратно из порта в этот же отель в заключительный день программы Мероприятия.
2. Проживание 7 ночей на моторной яхте в двухместной каюте.
3. 3-х разовое питание.
4. Оборудование для снорклинга.
5. Работа инструкторов по фридайвингу.
6. Лодки для перемещения по лагуне.
7. Работа капитана, шеф-повара и персонала яхты.
8. Гонорар мастера по акватерапии и дельфинотерапии Юлии Раковской.
9. Билеты в заповедник Sataya Reef (Dolphin House), Египет.
10. Полицейские разрешения.

Действия, выполняемые и оплачиваемые Заказчиком самостоятельно:
1. Личная страховка по категории “Спорт и Активный отдых”, включающая в себя занятия фридайвингом, оформленная на время проведения выездного ретрита “Перезагрузка с дельфинами.
2. Виза в Египет $25.
3. Перелет до аэропорта Марса-эль-Алам или Хургады, и обратно.
4. Трансфер от аэропорта до отеля (в случае проживания в отеле до начала программы на яхте) и обратно.
5. Отель, в случае решения Заказчика снять отель перед началом Мероприятия и после него.
6. Чаевые команде яхты (рекомендованная сумма 100 € за всю неделю).
7. Профессиональная видеосъемка от экипажа яхты будет доступна в случае оплаты с каждого участника 100 €.
8. По запросу, можно арендовать оборудование для дайвинга и погружаться с инструктором по дайвингу - 50 € .

TERMS AND DEFINITIONS
Public offer (hereinafter - Agreement, Contract) is an offer containing all essential conditions of the contract, which shows the will of the person making the offer to conclude a Contract on the conditions specified in the offer with anyone who accepts this offer.
The Customer - a legally capable natural person, who has reached the age of 18, has the legal right to enter into contractual relations with the Contractor, who has performed the Acceptance of the offer and is thus a party to the Contract.
The Contractor is a representative of Freedom Vision, Inc. Ozeredova Maria, acting on behalf of this company.
Acceptance of the offer is the consent of the person to whom it is addressed to its terms and conditions. Payment or sending of the Application for participation in the Event within the established deadline is considered an Acceptance. The Contract comes into force from the moment of Acceptance and does not require signing.
Application - a type of communication between the Customer and the Contractor via the Contractor's website, where the Customer expresses his/her desire to participate in the program of the Event “Reset with Dolphins”, posted on the Contractor's Website.
Website (Site) - an open for free visual familiarization, publicly available resource, placed in the Internet at the address: https://diamondyacht.club/dolphins by means of which the information on the terms and conditions of the services described in the Contract is displayed.
Cost of services is a current systematized list of the Contractor's services.
Freediving instructor is a freediver who has undergone appropriate specialized training and has significant practical knowledge in the field of safe diving.
Event - off-site retreat "Reset with dolphins", developed according to a special program, including practices, meditations on a yacht, body work, freediving sessions with dolphins and interaction with the natural environment, held in the Sataya Reef reserve (Dolphin House), Egypt.

1. SUBJECT OF THE AGREEMENT
1.1. The Contractor delivers services to the Customer by consulting the organization regarding the arrangement of the “Reset with Dolphins” Retreat. The Customer accepts the services provided and agrees to pay for them in full.
1.2. The Contractor, on the basis of the Customer's instructions, may organize and carry out, on behalf of and at the expense of the Customer, the search for persons and payment for related services specified in the Customer's Application and (or) in Appendix No. 1 to this Agreement. The Contractor provides services only for organizing the Event and consulting. When providing related services, rights and obligations arise between the providers of related services and the Customer.
1.3. This Agreement is a public Offer Agreement. Unconditional acceptance (Acceptance) of the terms of this Agreement is the fact of the Customer submitting an Application upon registration on the Site or making a deposit to the account of Freedom Vision, Inc.
1.4. The period for the provision of services selected by the Customer under this Agreement is determined individually with each Customer based on the Application submitted by them.
1.5 In case of acceptance of the terms and conditions set forth in this Offer, the individual who accepts this Offer becomes the Customer. Acceptance of the Offer is tantamount to the conclusion of the Contract, without the obligatory written signature of the parties.

2. RIGHTS AND RESPONSIBILITIES OF THE PARTIES
2.1. The Contractor is obliged to:
• Organize and ensure the proper performance of the services provided for in Section 1 of this Agreement.
• Provide services in accordance with the Event schedule developed by the Contractor.
• Conduct for the Customer a set of practices on working with the body, meditation and a freediving session in the Sataya Reef Reserve (Dolphin House), Egypt.
• During the provision of services, behave politely, tactfully and kindly towards the Customer.
• Notify the Customer if his individual characteristics make participation in the Event impossible or inappropriate.
• Notify in advance about a change in the time of the Event program (but no later than 7 days before its start).
2.2. The Customer is obliged to:
• Timely pay for the services provided, specified in paragraph 1.1 of this Agreement.
• Ensure attendance at the Event, on the dates planned by the Contractor in strict compliance with the plan agreed upon by the Parties, established when making the deposit.
• Provide the Contractor with insurance in the category “Sports and Active Recreation”, which includes freediving classes, issued for the duration of the off-site retreat “Reset with Dolphins” in Egypt.
• Provide the Contractor, at his first request, with the relevant medical reports on the possibility of the Customer’s participation in freediving sessions conducted by the Contractor.
• Immediately notify the Contractor of changes in contact information (phone, place of residence).
• Provide the Contractor with written consent to the processing of his personal data.
• Comply with the rules of conduct during the practices and classes of the program, and the privacy policy established by the Contractor.
• Show respect to all personnel of the Contractor.
• Reimburse, upon first request, in full for damage caused to the property of the Contractor and third parties involved by the Contractor to provide the service under this Agreement.
• If necessary, pay for the agreed additional services provided by the Contractor as part of the Event.
• Do not take part in freediving sessions if signs of any diseases appear that limit the ability to participate in the classes conducted by the Contractor.
• Comply with sanitary and hygienic standards, fire safety rules, and instructions on safety in the water.
• Take good care of the property of the Contractor.
2.3. The Contractor has the right to:
Index prices for the services provided for the Event depending on the rate of inflation, exchange rate fluctuations, and in other cases, for reasons leading to an increase in the costs of the services provided.
2.4. The Customer has the right to:
• contact the Contractor on all issues related to the timing, procedure, and methods of holding the Event;
• use the property of the Contractor necessary to ensure participation in the classes held, during their holding;
• demand that the Contractor provide information on issues related to the organization and ensure the proper performance of the services provided for in Section 1 of this Agreement.

3. PAYMENT FOR SERVICES AND BEARING OF COSTS BY THE CONTRACTOR
3.1. Under this agreement, the Customer pays the Cost of Participation, which includes:

• the cost of the Contractor's organizational and consulting services related to holding the retreat;
• payment of the fee to the master conducting practices, meditations, and other events included in the retreat program;
• participation in retreat practices and freediving sessions;
• the Customer's expenses for related services rendered by third parties engaged by the Contractor on the basis of the Customer's instructions and on its behalf, including accommodation on a yacht, meals, transfer, freediving instructor services, equipment rental and other items specified in Appendix No. 1 to this Agreement. The Contractor shall pay for these services to third parties using the funds received from the Customer under this Agreement as compensation for the expenses incurred.

3.2. Participation fee:
☑ Early Birds Price – €2,200 (until 31.07) + money transfer fee,
☑ Standard Price – €2,500 (from 1.08 to 31.08) + money transfer fee,
☑ Last Minute – €2,800 (from 1.09 to 7.10) + money transfer fee.

3.3. The Customer's expenses for related services rendered by third parties engaged by the Contractor under this Agreement on the basis of the Customer's instructions are the list of services specified in Appendix 1 of this Agreement. The total amount of the Customer's expenses for services rendered by third parties is approximate and depends on the terms of the third parties rendering these services.
3.4. To secure a place for the Customer to participate in the off-site retreat "Reset with Dolphins", the Customer must pay a "Deposit", which is 50% of the cost of participation specified in paragraph 3.2.
3.5 The deposit for booking a place is non-refundable, except for the following case:
- full refund, less transfer fees, when canceling a reservation (canceling the Customer's application) more than 91 days prior to the Event;
- if the reservation is canceled from 61 to 90 days before the start of the Event - 25% of the deposit will be refunded, less transfer fees;
- if the reservation is canceled less than 60 days in advance - the deposit is non-refundable.
3.6. The deposit to confirm the reservation shall be transferred by the Customer to the Contractor's details sent in response to the Customer's Application, no later than 10 days after the Application is submitted.
3.7. All payments by the Customer to the Contractor under this Agreement shall be made as follows:

• the Deposit shall be paid in US dollars, at the euro to US dollar exchange rate set by the European Central Bank on the invoice date;
• the remaining amount under the Agreement shall be paid in cash to the Contractor's cash desk or by bank transfer as agreed by the parties, in euro, no later than the first day of the Event.

3.8. The Contractor shall have the right to change the rates for the services provided by notifying the Customer thereof no later than thirty calendar days before the new rates come into effect.

4. GROUNDS FOR CHANGE AND TERMINATION OF THE AGREEMENT
4.1 The text of the Agreement may be specified by the Contractor without special notification of the Customer by publishing the current version of the Agreement on the website.
4.2 This Contract may be terminated by agreement of the Parties.
4.3 The Contractor has the right to cancel the Contract by notifying the Customer about the termination at least 30 calendar days in advance. In such case, the Customer's deposit shall be refunded, less transfer fees, or the date of the Customer's participation shall be postponed to the next trip under a similar program.
4.4 The Contractor has the right to terminate this Agreement at any time without prior notice to the Customer in case the Customer violates the terms and conditions of this Agreement.
4.5 This Agreement shall be terminated from the moment of force majeure circumstances for any of the Parties to the Agreement, and the deposit shall be returned in accordance with the terms and conditions of the Agreement.

5. OTHER CONDITIONS, LIABILITY
5.1 In case of non-attendance by the Customer of the Event conducted by the Contractor without valid reasons - practices, sessions and classes missed by the Customer shall not be restored and shall not be compensated.
5.2 The legal relations of the parties, not regulated by this Agreement, shall be regulated by the current legislation of the country where the Event is held.
5.3 The Customer agrees to the storage, processing and use of the Customer's personal data by the Contractor.
5.4 In case of improper fulfillment of their obligations under the Agreement, the Parties shall be liable in accordance with the legislation of the place where the Event is held.
5.5 By making the Acceptance of this Offer, the Customer confirms that he is familiarized with the sanitary and hygienic norms, fire safety rules, instructions on safety in the water, the Plan and procedure of holding the Event by the Contractor.
5.6 By making the Acceptance of this Offer, the Customer declares that he has no medical contraindications for attending the Event related to freediving and snorkeling, in accordance with the Plan and procedure of the Event developed by the Contractor. The Contractor shall not be liable for any harm caused to the Customer's health and life. The Contractor reserves the right to demand from the Customer a medical certificate issued by an authorized medical institution, without which the Customer will not be admitted to the Event.
5.7 The Contractor shall not be liable:
5.7.1 For damage caused to the life and health of the Customer in case of violation by the Customer of sanitary and hygienic norms, fire safety rules, safety instructions for staying in water, safety rules when using the services and/or due to the Customer's negligence, violation by the Customer of the laws and rules of the country of stay.
5.7.2 For damage caused to the life, health and/or property of the Customer by the actions of third parties.
5.7.3 For loss or damage of personal belongings left by the Customer at the place of rendering the Services.
5.7.4 For damage related to deterioration of health, if the Customer's health condition has deteriorated as a result of acute illness, exacerbation of injury or chronic disease.
5.7.5 For the damage caused to the life and health of the Customer as a result of independent training not according to the specially developed program of the Event and in places not corresponding to the level of training.
5.8 The Parties shall be released from responsibility for partial or full non-fulfillment of obligations under this Agreement, if this non-fulfillment was caused by force majeure circumstances.
5.9 In case the Customer causes property damage to the Contractor, the Contractor (its representative) shall draw up an act, which shall be signed by the authorized representatives of the Parties. If the Customer refuses to sign the act, the Contractor shall sign it unilaterally in the presence of 2 (Two) disinterested persons. The Customer within 5 (Five) calendar days on the basis of the act shall compensate the damage caused in full.
5.10. The Parties shall be liable for non-fulfillment or improper fulfillment of their obligations in accordance with the legislation of the country of the Event.
5.11. The Customer assumes full responsibility for all possible risks and consequences specified in clauses 5.7.1. - 5.9. of this Agreement.
5.12. The Contractor shall not be liable for the reduction or change of the Event program due to weather or other natural conditions, changes in the schedule of transport, changes in the physical condition of the participant/s of the group and other objective reasons that entail the impossibility of continuing the Event, including in the case of inconsistency of the provided services with the Customer's expectations and his subjective assessment. In this case the cost of the Contractor's services shall not be recalculated.
5.13. The Contractor and the Freediving Instructor shall not be liable for the actions of other persons, including illegal ones, and the consequences of such actions (hooliganism, theft, causing death/harm to health, etc.).
5.14. The Contractor is not liable, does not return financial resources and does not pay compensation in case of negative consequences caused by:
- unreliable, insufficient and/or untimely provision by the Customer of information and documents necessary for the fulfillment of the contract;
- cancellation or change of departure time of flights, trains, buses and other means of transportation;
- change by the Customer of the conditions of provision of recommended accompanying services resulting in additional expenses (change of accommodation conditions, transfers, late arrivals, no-shows, etc.);
- loss, misplacement, theft of the Customer's personal luggage, valuables and documents by third parties during the provision of related services;
- decisions, actions (inaction) of the authorities of the country of stay or other persons;
- in case of occurrence of diseases or complications of current diseases in the Customer;
- in case of early termination or change of the program by the Executor or Freediving Instructor, caused by force majeure or safety reasons;
- in case of violation by the Customer of safety techniques or requirements of the Freediving Instructor, which caused damage to the Customer;
- in other cases stipulated by the legislation.

5.15. In case of violation by the Customer of the established procedure, committing hooligan acts or allowing other inappropriate behavior, as well as in case of violation by the Customer of the terms of the Agreement, including, but not limited to: appearing at the beginning of the Event in a state of alcoholic or drug intoxication, drinking alcohol/drugs during the Event, violating the laws of the host countries and safety rules, as well as other terms of the Agreement, causing damage to the Freediving Instructor or third parties, the Contractor or the Freediving Instructor has the right to early terminate the fulfillment of their obligations (refuse to fulfill them) without returning the money paid to the Customer. In this case, the services are considered not to have been rendered due to the fault of the Customer, all losses incurred are borne by the Customer.
5.16. The Customer is obliged to compensate the Freediving Instructor and third parties for any damage/harm caused by them, including damage related to damage to equipment or other property of the Freediving Instructor or the Contractor, damage caused as a result of their violation of the laws of the host countries (including the obligation to compensate for any fines paid by the Freediving Instructor or other persons due to the Customer's violations).
5.17. In case of disagreements between the Customer and the Contractor, the parties will make every effort to resolve the conflict situation through negotiations and peacefully.
5.18. In case of any remarks, claims to the services, the Customer shall apply to the Contractor to solve the problems. In case of absence of such an appeal during the period of services rendering, the Contractor's obligations are considered to be fulfilled properly and without complaints.
5.19. If the reason that caused the Customer's claims and related to the fulfillment of the Contractor's obligations under this Agreement could not be eliminated on site, the Customer shall apply in writing to the Contractor within not more than 20 calendar days from the moment of the end of the services rendering, with attachment of documents confirming the claim requirements. The claim shall be considered within 14 calendar days.
5.20. All costs associated with early termination of participation in the retreat program, including the costs of emergency evacuation of the Customer, due to sudden illness, accident, suspension from participation due to the discovery of violations of the Agreement, shall be borne by the Customer.
5.21. The Customer is responsible for the correctness and validity of his identity documents and other documents and data required for participation in the Event, as well as for the accuracy of the information in the identity documents of the persons indicated by the Customer in the Application.
5.22. The Customer understands and realizes that the chosen freediving Event is an extreme sport and may involve risks to life. The Customer undertakes not to make any claims and legal actions against the Contractor in case of occurrence of unfavorable events. The Customer undertakes to insure his life, health and personal property himself and to bear responsibility himself in case of violation of the safety techniques explained to him by the Freediving Instructor or the Executor.
5.23. The Freediving Instructor is not a party to the contract.
5.24. By accepting the terms and conditions of this Offer, the Customer acknowledges that in case of any questions on safety, the Customer is obliged to contact the Freediving Instructor or the Contractor for clarification.

6. TERM OF THE AGREEMENT AND OTHER TERMS AND CONDITIONS
6.1 This Agreement shall come into force from the moment of its Acceptance and subsequent confirmation by the Contractor of the actual ability to fulfill the Application, and shall remain in force until the end of the Event.
6.2 If one of the parties fails to comply with the terms of this Agreement through no fault of its own, this party shall be released from liability on general grounds. Exemption from liability on general grounds is possible only if the other party submits legally valid documents confirming the innocence of the party.

7. FORCE MAJEURE CIRCUMSTANCES
7.1 In case of force majeure circumstances that could not be foreseen or prevented by reasonable actions of the Contractor or the Customer (strikes, natural disasters, weather conditions, military actions, decrees of state authorities affecting the execution of this Agreement, epidemics, terrorist acts or threat of terrorist acts, ban on air transportation in this direction and other similar circumstances affecting the execution of this Agreement), each party has the right to terminate the Agreement.

APPENDIX No.1 to the OFFER AGREEMENT
The Contractor organizes the Customer's participation in the Event program and facilitates booking of related services from third parties on behalf and at the expense of the Customer. Payment for accommodation, meals, transfers and other related services shall be made by third parties selected by the Customer, on the recommendation of the Contractor, using the funds transferred by the Customer under this Agreement.

List of Services:
1. Group Transfer from the main accommodation hotel to the port of embarkation on the first day of the Event, and back from the port to the same hotel on the final day of the Event program.
2. Accommodation for 7 nights on a motor yacht in a double cabin.
3. 3 meals per day.
4. Snorkeling equipment.
5. Work of instructors for freediving.
6. Boats for moving around the lagoon.
7. The work of the captain, chef and yacht staff.
8. Fee of the master of aqua therapy and dolphin therapy Julia Rakovskaya.
9. Tickets to Sataya Reef Reserve (Dolphin House), Egypt.
10. Police permits.

Actions performed and paid for by the Customer himself:
1. Personal insurance in the category “Sports and Active Leisure”, including freediving classes, issued for the duration of the off-site retreat “Reset with Dolphins.”
2. Visa to Egypt $25.
3. Flight to the airport of Marsa El Alam or Hurghada and back.
4. Transfer from the airport to the hotel (in case of staying at the hotel before the start of the program on the yacht) and back.
5. Hotel, if the Customer decides to rent a hotel before and after the Event.
6. Tips for the yacht crew (recommended amount 100 € for the whole week).
7. Professional video filming from the yacht crew will be available in case of payment of 100 € from each participant.
8. On request, it is possible to rent diving equipment and dive with a diving instructor - 50 €.
